IT spin-offs, acquisitions & new sites in Brazil

Updated on

In a spin-off, an acquisition or the opening of a new site, IT must separate or integrate systems, data, networks and contracts by a date set by the business, without stopping operations. I worked as strategic infrastructure consultant on the IT spin-off between CCPR and Itambé, with two in-house data centers running active-active, SAP migrated to HANA, a BRL 27 million budget and zero RPO and RTO.

The problem

Legal and management have already signed the date. IT gets the mission afterwards: separate systems that were born together, split contracts, build the new company’s infrastructure or integrate the acquired company. All while revenue keeps flowing.

Signs you need extra hands

  • A separation or integration date already set, with no detailed technical plan.
  • Systems, licenses and contracts shared between the companies.
  • An internal team busy running day-to-day operations.
  • One of the parties needs new infrastructure (data center, network, security).
  • Transition service agreements (TSAs) with a deadline.

How I work

1. Assessment

I map systems, data, contracts, licenses, infrastructure and dependencies between the companies.

You get: an inventory of what to separate or integrate and the risks of each item.

2. Plan

I define the target architecture, the sequence of changes, the windows and the rollback plan, aligned with the business date.

You get: the project plan, budget and critical path.

3. Execution

I coordinate vendors, both companies’ teams and the migration, with project governance.

You get: status reports for management and decisions made on time.

4. Delivery

I close the transition, document and hand over to each company’s operations.

You get: the companies running independently or integrated, with documentation.

Proof

CCPR/Itambé: IT spin-off with two in-house data centers running active-active, migration of IT services and SAP to HANA. BRL 27 million budget, zero RPO and RTO, no operational downtime, from September 2019 to July 2020. → Read the case study

Frequently asked questions

How do you separate systems in a spin-off without stopping operations?

With a full inventory of dependencies, target infrastructure ready before cutover, rehearsed migrations and a rollback plan. At CCPR, two active-active data centers delivered zero RPO and RTO during the separation.

What is a TSA in an IT spin-off?

A transition service agreement: one company keeps providing IT services to the other for a set period, until the separation is complete. The IT plan must finish before the TSA ends.

Where should IT integration start after an acquisition in Brazil?

With the inventory and the risks: critical systems, contracts, security and access. Integrating security and access usually comes before integrating systems.
